Young Chang

Young’s experience representing private equity entities and privately held companies in equity and asset acquisitions and sales includes deals valued from $2 million to $200 million. He has worked on transactions involving equity rollover, debt and equity financing, and pre-closing corporate reorganizations. Young oversees and manages the pre-closing corporate reorganization process, due diligence process, and closing process. He also coordinates with clients’ internal legal debt financing teams to manage deadlines and meet deal targets.

Young has thorough experience drafting documents related to equity and asset acquisitions and sales, including Stock, Membership Interest, Asset Purchase Agreements, and ancillary documents including Consulting Agreements, Officer’s Certificates, Written Consents, Assignment and Assumption Agreements, Non-Competition Agreements, and Promissory Notes. He also drafts documents related to equity rollovers and pre-closing corporate reorganizations, including Contribution and Exchange Agreements, Cross Purchase Agreements, Convertible Promissory Notes, and Redemption Agreements. Young’s experience drafting due diligence documents includes Due Diligence Request Lists, Non-Disclosure Agreements, Clean Team Agreements, Diligence Trackers, Key Diligence Issues Memoranda, and Disclosure Schedules.

Young’s experience representing issuers in private offerings of equity securities includes Section 4(a)(2) and Rule 506(b) exempt offerings of membership interests by privately held companies. Young oversees and manages the closing process including preparing subscription packets and notices to investors and tracking executed subscription documents and funding. He also analyzes federal and state securities issuance exemptions and coordinates the preparation and filing of related forms and documents. Young has drafted numerous documents related to private offerings of equity securities, including Subscription Agreements, Private Placement Memorandums, Limited Liability Company Operating Agreements, and Blue-Sky Memorandums.
